Remuneration to the CEO and Board and incentive programs.

REMUNERATION OF THE BOARD

Annual board fees are paid as provided in a resolution from the 2020 AGM totaling SEK 400,000 to the board chairman and SEK 200,000 to each board member. No board fees are paid to an elected member who simultaneously receives salary from the company.

Annual fees are paid to board members who also serve on the Audit and Remuneration Committees, in addition to their regular fees. These are SEK 50,000 to the committee chair and SEK 35,000 to the other committee members. Again, this is only for members who do not receive salary from the company.

REMUNERATION OF THE CEO

The CEO receives a monthly salary of EUR 14,600 per month.

INCENTIVE PROGRAMS

Enlabs AB currently has an outstanding incentive program, named TO6-2023

On 8 May 2020, the Enlabs Annual General Meeting resolved to issue a directed issue of no more than 1,800,000 warrants, distributed to key individuals in the group. The subscription price is SEK 21.66 per share and the option premium is SEK 3.35 per option as measured by the audit company PwC using the Black & Scholes model.

Stock subscription may take place no earlier than 2023-07-31 and no later than 2023-12-31.
